S. Sam Berde

Sam’s current practice focuses on the representation of publicly traded and privately held companies in both domestic and cross-border merger and acquisition transactions. His specialty also includes inversion transactions, formation of Limited Liability Companies and tax aspects of executive compensation strategies, minority equity investments, venture financing and other general business matters. Sam represents clients as outside financial advisor or as acting chief financial officer and assists numerous clients on completing SEC filings, including registration statements (Form S1 and SB2). He prepares business plans and financial feasibility studies for high-technology firms, Internet service firms, software consulting firms, and light manufacturing. Additionally, Sam plans and administers audit and consulting engagements.

During a seven-year stint, Sam advanced rapidly to the position of manager at KPMG – Peat Marwick in San Francisco, where his responsibilities included planning and administering all phases of audit and consulting engagements.
